These Terms govern your use of the FRICTION ANALYTICS website (https://frictionanalytics.com/) and our data analytics, business intelligence, and revenue infrastructure services. By using the site or Services, you accept these Terms.
1. Service Tiers & Engagement Models
A. Diagnostic & "AI-Readiness" Audits:
- Acceptance of Terms: Friction Analytics operates on an "Acceptance by Payment" model for all diagnostic work. Payment of the Project Invoice constitutes full acceptance of the terms laid out herein.
- The Process: Upon receipt of payment, Friction Analytics requires Viewer-level access to the Client’s data environment (e.g., GA4, Google Ads). The forensic audit will be delivered within the timeframe specified in the Project Confirmation.
- Professional Credit: Unless otherwise stated in the Project Confirmation, the full cost of the diagnostic audit shall be credited toward "Phase 2" implementation projects initiated within 30 days of audit delivery.
- Scope: Audit work is forensic in nature. Implementation, repair, or ongoing management is considered a separate engagement.
B. Managed Infrastructure & Retainers:
Using or creating an account means you accept these Terms and our Privacy Policy. We may update these Terms. Continued use means you accept updates.
- Service Scope: Ongoing attribution management and infrastructure maintenance are governed by individual Statements of Work (SOW) which supplement these Terms.
- Performance: Friction Analytics manages the "data pipes" and signal integrity. Client acknowledges that third-party platform changes (Google, Meta, etc.) may impact data visualization and require architectural adjustments.
2. Services & Acceptable Use
We provide business intelligence and data analytics solutions such as:
- Custom dashboards (Looker Studio, Tableau)
- Data platform architecture and "Signal Integrity" audits
- AI and machine learning integration
- Business intelligence services, process automation, and data modeling
User Responsibilities: You must provide accurate business intelligence needs and data access. You may not break the law, reverse engineer our proprietary tools, or introduce malware into the Friction Analytics environment.
3. Fees, Payment, and Refunds
- Billing: Fees are billed in U.S. dollars. Payments are processed via secure third-party processors (e.g., PayPal).
- Refunds: Due to the custom, forensic nature of our work, services are generally non-refundable once the audit or project has begun. Any refund issued is at the sole discretion of Friction Analytics and may be prorated based on work completed.
4. Intellectual Property & Data Ownership
- Client Data: You own the data you provide. You grant Friction Analytics a limited license to process this data solely for the delivery of Services.
- Friction Analytics Property: We own our website content, frameworks, training materials, and the underlying architecture of our dashboards (including custom formulas and proprietary scripts).
- Deliverables: Upon full payment, you are granted permanent Viewer Access (or ownership of specific reports as defined in an SOW). However, the underlying methods, tools, and master templates remain the property of Friction Analytics to ensure data integrity and prevent unauthorized redistribution.
5. Confidentiality & Privacy
- Forensic Observation: Friction Analytics acts as a forensic observer. Both parties agree to protect confidential information.
- Privacy: Our Privacy Policy explains how we collect and use data. We follow industry security standards but cannot guarantee absolute security against third-party platform breaches.
6. Third-Party Platforms
Our Services rely on third-party platforms (Google Ads, GA4, etc.). Their terms apply. Friction Analytics is not responsible for third-party outages, API changes, or actions taken by these platforms that may alter data reporting.
7. Limitation of Liability & Indemnification
- Disclaimer: Services are provided “as is.” We do not guarantee specific financial outcomes or "ROI" as these are subject to market conditions.
- Liability Cap: Our total liability is limited to the fees paid by the Client in the 12 months preceding the claim.
- Indemnification: You agree to indemnify FRICTION ANALYTICS for claims related to your misuse of Services, breach of Terms, or inaccurate data provided by your organization.
8. Governing Law & Disputes
These Terms are governed by California law. Disputes shall be handled in state or federal courts in San Diego County, California. Contact support@frictionanalytics.com for informal resolution before filing suit.
9. Termination
- You may terminate as outlined in your specific SOW.
- Friction Analytics may terminate for breach of terms, fraud, or lack of data access.
- Confidentiality, Intellectual Property, and Liability terms survive termination.
